The Platform includes its tools, such as the EPR Calculator and the Recyclability Assessment.

Unless expressly agreed otherwise in writing in advance, these Terms of Use apply to this agreement, excluding any general and special terms and conditions of the customer. Written derogations are only valid as a replacement or addition to the specific provisions to which they relate. The remaining provisions of these Terms of Use remain fully applicable. The customer is deemed to have taken knowledge of these Terms of Use at the time of the offer or, if earlier, when a User accepts them on creating an account, and is deemed to have accepted them. In case of legitimate reasons and subject to prior notice VEOLIA reserves the right to unilaterally modify these Terms of Use. The version in force and its date are published on the Platform.
1.3 Terms in English in the proposal or agreement describing legal concepts describe solely legal concepts of Belgian law. Interpretations according to other national legal concepts are not to be considered.
1.4 Each User who creates an account accepts these Terms of Use on behalf of the customer and confirms that he or she is authorised to do so. Accounts may only be created with a professional email address on the customer’s domain name or that of a direct subsidiary; temporary email addresses are not allowed. VEOLIA may refuse or close accounts that do not meet these requirements.
2 Conclusion of the agreement
2.1 The proposals and this Agreement are established on the basis of information provided by the customer. The customer warrants the accuracy and completeness of the provided information.
2.2 The agreement is concluded when VEOLIA receives the (digitally) signed proposal and/or a purchase order confirmation by the customer or, for access without a Proposal, when a User accepts these Terms of Use on creating an account. The customer represents and warrants that it is represented by (a) person(s) that is (are) authorized signatory(ies). An agreement shall be deemed to have been concluded when VEOLIA begins providing access to the Platform to the customer.
2.3 In accordance with Book XII, electronic economy law from the Economic Law Code, parties specifically recognize that electronic means of communication are capable of constituting a valid agreement. VEOLIA can use any electronic files to evidence the agreement. An ordinary, digital or electronically qualified signature is not an essential requirement for evidence purposes.
2.4 The agreement enters into force on the day of the conclusion of the agreement in accordance with art. 2.2., unless otherwise agreed in writing between the parties.
2.5 In the event of any conflict between these Terms of Use and a signed Proposal, the provisions of the Proposal shall apply. These documents are drafted in the English language, in the event of any conflict between the English version of these documents and a version in another language, the English version shall apply.
3 Limited right of use and know-how
3.1 Unless agreed otherwise, the Results may only be used internally by the customer and may not be disclosed to any third parties. This does not apply to affiliated companies pursuant to article 1:20 et seq. of the Companies and Associations Code, if this is expressly agreed.
3.2 The customer's right and ability to use the Documentation or the contents of the Recycling Intelligence Platform and view and extract content will depend on the type, level, and length of the subscription service purchased by the customer as identified in the Proposal or, during a Trial, on the scope of the Trial.
3.3 The customer agrees and undertakes that:
a) it will ensure that authorised users only access and use the Documentation or the contents of the Recycling Intelligence Platform in accordance with these Terms of Use, and the customer shall be responsible for any unauthorised access or use;
b) it will use all reasonable endeavors to prevent any unauthorized access to or use of the Documentation or the contents of the Recycling Intelligence Platform and notify VEOLIA promptly of any unauthorized access or use;
c) the maximum number of users that access and use the Documentation or the contents of the Recycling Intelligence Platform shall not exceed the number of user licences it has purchased or that VEOLIA has granted for a Trial;
d) it will not allow or permit any user subscription or authentication credentials to which it is entitled to be shared or used by more than one individual;
e) it shall not access the Documentation or the contents of the Recycling Intelligence Platform for the purpose of building a competitive product or service or copying or sharing its features or user interface;
f) it shall ensure clearly stated reference to VEOLIA in any shared materials, in the case that an agreement has been made with a cooperative, sector organisation, or other organisation requesting to disperse information among members or partners in the organisation;
g) it will not use automated means, such as scripts, bots or scrapers, to extract content from the Platform, other than the export functions made available in the Platform.
3.4 VEOLIA may suspend, remove or limit access of any User or of the customer that violates the agreement. The customer will comply with VEOLIA's reasonable requests to end unauthorized access or use from the customer's systems.
3.5 Each contracting party shall retain its know-how and shall not transfer any rights thereto to the other contracting party.
4 Fees
4.1 The agreed fees are set out in the Proposal. Access during a Trial is free of charge. Unless otherwise agreed, all fees payable under this Agreement are exclusive of any Value Added Tax (VAT), Goods and Service Tax (GST), sales and/or use tax, consumption tax or any other similar indirect taxes.
4.2 Unless agreed otherwise, the agreed fee, as mentioned in the proposal and/or Agreement, does not include out-of-pocket expenses, costs for third-party services (e.g., waste or material analyses) and, in general, additional services rendered in the course of this Agreement (such as assistance with the implementation of the Results). These additional costs shall require prior written approval by the customer. They shall be offered separately and will be subject to their own Terms & Conditions.
4.3 In the event that the customer seeks to modify, extend, delay or completely cancel the original order, VEOLIA shall be entitled to adjust prices or to claim compensation for the failure/cancellation of the order.
5 Terms of payment
5.1 VEOLIA's invoices shall be sent electronically and be due for payment within 30 days after invoicing without any deductions unless a different due date is agreed. In the latter case, the invoice shall also be payable without any deduction. Each invoice that is not disputed within fifteen calendar days after its issuance is considered accepted by the customer. Every payment must be performed by the customer as indicated on the invoice.
5.2 Every invoice not timely paid gives automatically and without notice rise, as of the expiry date, to late payment interest at a rate equal to the legal interest rate for late payment in commercial transactions. This is without prejudice to VEOLIA's right to claim compensation for additional costs related to the non-payment. The customer can neither refuse payment by invoking a dispute that is not directly linked to the subject of the invoice nor exercise a right of retention on the uncontested part of the invoice.
6 Performance times - force majeure
6.1 Time specifications mentioned in the proposal and/or Agreement shall always be considered approximate unless specified otherwise between Parties.
6.2 In case of force majeure, which is a circumstance independent of VEOLIA's or the customer’s will, preventing them from fulfilling all or part of their obligations, the party who is affected by force majeure is not obliged to fulfill its obligations, this for the duration of the situation of force majeure. In case of force majeure the customer will not have the right to compensation, but either Party may terminate this Agreement in accordance with article 8.1 if the force majeure lasts more than [60] days.
6.3 Force majeure shall entitle VEOLIA to cancel its performance obligation in whole or in part by (partial) termination of the contract. In this case the customer shall pay for the services already rendered by VEOLIA.
7 Warranty - Liability
7.1 It shall be both Parties’ responsibility to take appropriate measures to ensure the proper performance by VEOLIA under this Agreement.
VEOLIA shall not be held liable for damage caused by unauthorized ordering, signing or other unauthorized actions by persons within the customer's organization.
7.2 The customer must notify any complaint about an invoice to VEOLIA in writing within 15 calendar days after invoicing. Formulating a complaint does not entitle the customer to suspend payment. In the absence of a timely complaint, VEOLIA's services will be deemed accepted.
7.3 Insofar as allowed by law, VEOLIA’s liability shall be limited to compensation for direct damage caused by VEOLIA during the performance under this Agreement and in no case for indirect damages such as e.g., operating losses, financial losses or loss of profit. The liability of VEOLIA is in any event limited to the total fees agreed under this Agreement. During a Trial, the Platform is provided “as is” and VEOLIA’s total liability is limited to [EUR 500], insofar as allowed by law.
7.4 VEOLIA shall not be liable in the following events: (i) for damage suffered by third parties including the employees of the customer as well as the individuals that the customer has under its responsibility, who suffered damage within the framework of the performance of this Agreement, unless this damage is a direct consequence of an intentional misconduct of VEOLIA; (ii) for any consequence related to the implementation of the Results; (iii) if the customer fails to assert any claim it may have against VEOLIA in writing within 45 days after becoming aware of the circumstances giving rise to liability.
7.5 As for the Recycling Intelligence Platform, VEOLIA provides regular updates on the content.
7.6 VEOLIA acknowledges that the Recycling Intelligence Platform to be provided to customer is based on a combination of publicly available information and internal experience. VEOLIA further acknowledges that the information obtained from the internet, although deemed reliable, may not be entirely accurate or up-to-date at all times. VEOLIA shall not be held liable for any inaccuracies, errors, or omissions in the Recycling Intelligence Platform arising from the use of information obtained from the internet or other publicly available sources.
7.7 VEOLIA shall undertake professional efforts to provide up-to-date and verified information. VEOLIA shall use reasonable efforts to ensure availability and functionality of the platform.
7.8 VEOLIA shall undertake best professional efforts to provide a market-standard IT/cyber security set-up.
7.9 The Parties recognize that VEOLIA cannot warrant that the customer's use of the Documentation or Recycling Intelligence Platform: (i) will be uninterrupted at any time; (ii) that the Documentation or Recycling Intelligence Platform will run on the customer’s system at any time.
7.10 Calculation Outputs, including those of the EPR Calculator and the Recyclability Assessment, are indicative estimates intended to support the customer’s internal planning and decision-making. They are based on the Customer Data entered and on the methodology, fee schedules and information available to VEOLIA at the time. Actual fees and assessments may differ depending on packaging specifications, classification and applicable scheme rules. Calculation Outputs are not a binding fee quotation, a confirmation of compliance, a substitute for legal advice or a formal compliance certification, and must not be used for EPR declarations, fee payments or other regulatory filings. For business-critical decisions, the customer may ask VEOLIA to review its Calculation Outputs before relying on them; VEOLIA will consider such requests on a reasonable basis. The customer remains solely responsible for its own regulatory obligations, including its EPR declarations and payments.
8 Termination
8.1 Parties can terminate the Agreement upon written notice to the other party, in whole or partly, with immediate effect, without prior notice of default and without prior intervention by a court being required, as soon as the other party (i) is in a situation of bankruptcy or insolvency, is subject to a judicial reorganisation procedure or otherwise, has been dissolved or in liquidation or (ii) has committed a material breach of contract, without prejudice to the other party's right to compensation or (iii) in case of force majeure as set out in article 6.2.
8.2 If a party fails to fulfil one of its obligations and has not remedied such failure within 15 calendar days following notice, the other party has the right to terminate the Agreement upon written notice with immediate effect, without prior intervention of a court being required, without prejudice to its right to compensation.
8.3 On termination or expiry of the Agreement, the customer’s and its Users’ access to the Platform ends and article 12.4 applies to Customer Data.
9 Miscellaneous
9.1 The nullity or invalidity of a provision or of part of a provision of this Agreement has no effect on the application of the remaining provisions. Invalid provisions shall be replaced with revised one negotiated in good faith to achieve the original intent.
9.2 Subsidiary agreements, amendments or supplements to this Agreement must be designated as such and must be in writing and confirmed by both Parties in order to be valid. Any deviation from this Agreement must also be made in writing.
10 Intellectual property
10.1 All of VEOLIA´s intellectual property rights, derivative rights and trade names remain the property of VEOLIA. This includes, among others: copyright, trademark, design and model rights and/or other (intellectual property) rights, among which technical and/or commercial know-how, methods and concepts, whether patentable or not. The customer is prohibited from using and/or modifying these intellectual property rights unless agreed otherwise in writing.
10.2 Any information the customer will receive from VEOLIA coming from the Recycling Intelligence Platform reflects the knowledge and resources of VEOLIA and may be used only within the named organization. External sharing of data, reports, access to the Recycling Intelligence Platform itself or any of its contents is prohibited unless contractually aligned with VEOLIA. As part of the Agreement, the customer agrees not to disclose the content to any third party.
10.3 The customer shall credit, wherever technically and commercially feasible, VEOLIA as the source of the Documentation and the Recycling Intelligence Platform.
10.4 Customer Data remains the property of the customer. The customer grants VEOLIA a non-exclusive licence to host, process and use Customer Data for the duration of the Agreement, solely to provide, secure and support the Platform. [VEOLIA may use Customer Data in anonymised and aggregated form, which does not identify the customer, its products or its packaging, to maintain and improve the Platform.]
11 Confidentiality
11.1 Every information exchanged between the Parties under this Agreement and through the Recycling Intelligence Platform, shall be treated on a strictly confidential way, shall not be disclosed to third Parties, in any way and shall be exclusively used in the purposes of this Agreement.

VEOLIA will not disclose any packaging specific information without prior written agreement from the customer. Consent may be withdrawn at any time via direct communication with VEOLIA, or via email delivered to CIRCPACK@veolia.com. This article does not apply to a Trial.

12.1 The information supplied by the customer is necessary for preparing and performing the contract, and is used for the purpose of processing and completing the orders, billing as well as looking after the legitimate interest of VEOLIA and achieving all purposes compatible with these mentioned purposes. The customer’s personal data will only be processed in accordance with the applicable legislation. VEOLIA processes the personal data of Users as data controller, as described in the Veolia Privacy Policy available on the Platform.
12.2 VEOLIA and customer shall, at all times, comply with its respective obligations under all Applicable Data Protection Laws in relation to all personal data that is being processed under the agreement. Insofar VEOLIA, in its capacity of processor, would process personal data on behalf of the customer, the customer will, in its capacity of controller, remain responsible for setting out the purpose and means of the processing and VEOLIA will respect all reasonable instructions provided by the customer in relation thereto. Both Parties shall, upon either Party’s first request, enter into a data processing agreement where necessary.
12.3 The personal data will not be stored for longer than necessary to achieve the above mentioned purposes. The customer has the right, as the case may be and to the extent in accordance with applicable legislation, to request VEOLIA to access, to correct, or to change, to delete, or to restrict the personal data processing related to it, as well as the right to object to the personal data processing and the right to personal data portability by writing to dataprotection.be@veolia.com.
